ShriramPistons and Rings Limited (SPRL), India’s leading pistons, piston pins, piston rings,and engine valves manufacturer, and a prominent player in high-precisioninjection moulded components and EV motors and controllers, has announced adefinitive agreement to acquire 100 per cent shareholding in Antolin LightingIndia Private Limited (ALIPL), Grupo Antolin India Private Limited (GAIPL), andGrupo Antolin Chakan Private Limited (GACPL), a subsidiary of GAIPL, subject toterms and conditions in the Share Purchase Agreement (SPA). Collectively, thesecompanies represent some of the leading providers of advanced interiorsolutions to the automotive industry.
Aspart of the transaction, SPRL will enter into a long-term Technology LicensingAgreement with Grupo Antolin, ensuring continued access to cutting-edgetechnologies, global best practices, and support for new product development. Thiscollaboration will enable SPRL to deliver world-class quality and innovation toits customers while seamlessly integrating Antolin’s proven expertise.
Thisacquisition, valued at approximately INR16,700-million on a debt-free,cash-free basis, marks a pivotal step in SPRL’s long-term strategy to diversifybeyond the traditional ICE powertrain components. By entering the fast-growingautomotive interiors segment, SPRL strengthens its leadership position andfuture-proofs its portfolio against evolving industry trends.
Thetarget companies bring a robust portfolio of interior solutions, includingheadliner substrates, modular headliners, sun visors, door panels, centre floorconsoles, pillar trims, front-end carriers (exterior plastic parts), overheadconsoles, dome lamps, and ambient lighting systems, touch panels, capacitivepads, etc.
Withfive state-of-the-art manufacturing facilities across Chakan (2), Pune (2), andChennai (1), the target companies serve major OEMs across India and contributeannual revenues of approximately INR11,791-million. The transaction is expectedto be completed by January 2, 2026, subject to customary approvals andconditions outlined in the Share Purchase Agreement.
